Terms of Trade

Version 2.4 · October 2026

1. These terms

1.1 These are the terms on which Additive Lab (ABN 97 291 597 820) of Brisbane, Queensland, supplies design, 3D scanning, printing and production services. In these terms we, us and our mean Additive Lab, and you means the person or business named on the quotation.

1.2 These terms apply to every quotation we issue and every order you place with us.

1.3 Where the quotation is inconsistent with these terms, the quotation prevails. The quotation is the specific agreement; these terms are the general terms that apply to it.

1.4 A failure or delay by either party in enforcing a term is not a waiver of that term.

2. Quotations

2.1 A quotation is an offer to supply on the terms set out in it. It is not an order and binds neither party until accepted.

2.2 A quotation is prepared on the basis of the information, files and specifications you provide. Where that information is inaccurate, incomplete or subsequently changed, we may re-quote before continuing.

3. Orders

3.1 You accept a quotation by signing and returning the acceptance block on it, by written confirmation by email, or by paying a deposit invoiced against it. Acceptance by any of these means is acceptance of these terms in the version identified on that quotation.

3.2 On acceptance, a contract comes into existence on the quotation and these terms, and on no other document unless agreed by both parties in writing.

3.3 We may decline any order. Where we decline before any payment has been made, neither party has any liability to the other.

4. Prices, GST and payment

4.1 All prices are in Australian dollars.

4.2 Prices exclude freight and packaging unless the quotation states otherwise.

4.3 Payment before commencement. For orders under $1,000, payment in full is required before work commences. For orders of $1,000 or more, a deposit of 30% of the order value is required before work commences. We are not obliged to commence work until the required payment has been received.

4.4 Where a deposit has been paid, the balance is payable within 30 days of the date of our invoice.

4.5 Payment is by electronic funds transfer to the account shown on the invoice. We will not notify you of a change to our bank details by email alone. Any message appearing to originate from us that changes our account details must not be acted on. Verify it by telephone using the number shown on your quotation.

4.6 Where an invoice is not paid when due, we may suspend work on any order of yours, and we may charge interest on the overdue amount at 10% per annum, calculated daily from the due date until payment. We may recover the reasonable costs we actually incur in recovering an overdue amount.

4.7 You must pay each invoice in full when due, without deduction, withholding or set-off, except where a right of set-off arises under the Australian Consumer Law or other law that cannot be excluded.

5. Your files and information

5.1 Where you supply models, drawings, specifications or other files, you warrant that you own them or are otherwise entitled to have the parts made, and that manufacture of the parts will not infringe the rights of any other person.

5.2 You indemnify us against any claim, loss or cost arising from a breach of clause 5.1, including the reasonable cost of defending a claim that the parts or your files infringe the rights of a third party. This indemnity does not apply to the extent the loss was caused by our negligence or breach.

5.3 We do not examine your files for third-party rights and are not in a position to do so.

5.4 We rely on the dimensions and specifications you provide. We are not responsible for a part being unsuitable where the design or specification you supplied was unsuitable, unless you engaged us to review it and we agreed in writing to do so.

5.5 We retain your files for as long as there is a reasonable business reason to do so and, where we have carried out work for you, for the record retention period in clause 12.5. We may delete them after that period. You may request deletion of your design files at any time, in writing, in accordance with our privacy policy.

6. Design work

6.1 Where we carry out design work, the quotation states the number of revisions included. Additional revisions are charged at our design rate current at the date of the quotation.

6.2 Where we provide a design, drawing or sample for approval, we manufacture to what is approved. Once approved, a change is a variation under clause 11.

6.3 We are not a registered professional engineer. We do not provide professional engineering services, engineering certification, structural or safety assessment, load or stress analysis, or any service requiring registration under the *Professional Engineers Act 2002* (Qld) or equivalent legislation. Our design work is applied additive manufacturing design and design-for-additive-manufacturing advice.

6.4 We give no engineering guarantee. We do not certify any design or part, and we give no warranty that a design will perform, or be safe or suitable, in any particular application. Where your application requires engineering certification, verification or sign-off, you are responsible for obtaining it from a registered professional engineer before the part is put into service. Nothing in this clause limits your rights under the Australian Consumer Law.

7. What we manufacture, and the limits of what we undertake

7.1 Additive manufacturing is not machining. The following are characteristics of the process and are not defects:

7.2 Tolerance. Where the quotation or an approved drawing states a tolerance, we manufacture to it. Where no tolerance is stated on the quotation or an approved drawing, no dimensional tolerance is warranted, and dimensional variation within the normal capability of the process is not a defect. Where a dimension is critical, you must identify it before accepting the quotation so that it can be quoted to. Doing so may affect price, build orientation, or whether the work can be undertaken. Nothing in this clause limits your rights under the Australian Consumer Law.

7.3 Material properties. Published material datasheets describe test specimens produced under laboratory conditions. A printed part is not a test specimen. Its strength depends on build orientation, geometry, layer adhesion and post-processing, and is directional. We do not supply parts to datasheet mechanical values and make no representation that a part will achieve them, unless a specific tested property has been expressly agreed in writing. Nothing in this clause limits your rights under the Australian Consumer Law.

7.4 Fitness for your application. Unless we have agreed in writing to assess it, you are responsible for determining whether a part is fit for its intended application and for testing it before it is put into service. Where you disclose the purpose and engage us to advise on it, clause 13 and the Australian Consumer Law apply to that advice.

7.5 We do not supply parts for applications in which failure could cause death or personal injury, or for medical implants, life support, aviation, or load-bearing structural applications, unless expressly agreed in writing beforehand.

7.6 We may substitute a material of equivalent or better specification where the quoted material becomes unavailable. We will give notice before doing so, and you may cancel the affected part of the order without charge.

7.7 3D scanning. Where we 3D scan an object, or produce a mesh, model, drawing or part from scan data:

Nothing in this clause limits your rights under the Australian Consumer Law.

7.8 Objects you supply for scanning. Scanning may require a removable matting spray or adhesive targets to be applied to the object. We remove them before return, but traces may remain on porous, textured or finished surfaces. You must tell us before handing an object over if it is fragile, valuable, or must not have anything applied to it. An object left with us for scanning remains at your risk, except for loss or damage caused by our negligence.

8. Lead times, delivery and subcontracting

8.1 Lead times are estimates given in good faith based on workload at the date of quotation. They are not guaranteed and time is not of the essence, unless the quotation states a firm delivery date.

8.2 We will give prompt notice where a lead time will be exceeded by a material margin.

8.3 Risk in the parts passes to you when they are handed to a carrier for delivery to you, or when you collect them. Title passes when we have been paid in full for that order.

8.4 Where we hold finished parts at your request, we may charge reasonable storage after 30 days, and risk in those parts passes to you from the date they were ready.

8.5 Uncollected parts. Where parts remain undelivered or uncollected for 90 days after we give written notice that they are ready, we may dispose of them and apply any proceeds against amounts you owe us. Disposal does not discharge your obligation to pay for them.

8.6 We may subcontract any part of the work at our discretion. We remain responsible to you for the performance of the work and for its quality.

9. Inspection and remedies

9.1 You must inspect the parts on delivery and notify us within 7 days of any apparent defect or discrepancy, so that the cause remains traceable. Notification outside that period does not affect your rights under the Australian Consumer Law.

9.2 Where parts do not conform to the quotation, an approved drawing or an approved sample, we will assess the parts and the cause, and will provide a remedy appropriate to the circumstances. That remedy will be reprinting, replacement, repair, refund or credit, determined by us following assessment. Where we reprint or replace, you must return or dispose of the original parts as we reasonably direct. This clause does not limit clause 13.

9.3 We are not required to provide a remedy under clause 9.2 where the parts conform to what was quoted and approved, where the cause is a characteristic described in clause 7.1, where you supplied the design and the design is the cause, or where the parts have been modified, misused, or used outside the conditions we specified.

9.4 Parts are manufactured to the specification you provide or, where you provide none, to any specification stated in the quotation. We do not accept returns for change of mind.

10. Intellectual property

10.1 Our background intellectual property remains ours. Our print profiles, process parameters, plate layouts, jigs, fixtures, methods and know-how remain our property on every order, irrespective of who paid for the work. Nothing in these terms transfers any of it, and we may apply it to other work.

10.2 Your intellectual property remains yours. Designs, models and information you supply remain your property.

10.3 Designs we create. Unless the quotation states otherwise, designs, models, drawings and scan data we create in carrying out an order, and the intellectual property in them, belong to us, except to the extent they incorporate your intellectual property under clause 10.2. Where the quotation grants you a licence to use a design, or assigns a design to you, you receive the rights the quotation states and no others. Nothing in this clause limits your right to use the parts we supply to you.

10.4 An assignment of a design we create is priced separately and is stated on the quotation.

10.5 Rights transfer on payment in full, not on delivery. Until payment in full, no licence or assignment under clauses 10.3 or 10.4 has taken effect.

10.6 Native CAD files and print files are separate from ownership of the design. Whether editable source files are supplied is stated on the quotation and is a separate commercial matter from who owns the design. Unless the quotation states otherwise, we do not supply native CAD files, print files or plate setups.

10.7 Marketing. We may photograph parts we have manufactured and use those images, and describe the work in general terms, in our marketing and public material. We will not identify you, disclose your designs, drawings or specifications, or describe the specific application the parts are used in, without your written consent. You may opt out of, or withdraw, this permission at any time by notifying us in writing, and we will then remove the material from anything within our control within a reasonable time. We cannot recall material already printed or distributed.

11. Variations, cancellation and events outside reasonable control

11.1 Either party may propose a variation. A variation takes effect when both parties have agreed it in writing, including its effect on price and lead time.

11.2 Where you cancel after acceptance, you must pay for work performed and materials purchased or committed up to the time we receive the cancellation, together with any unavoidable costs we cannot recover. We will take reasonable steps to mitigate those costs and will itemise what is charged.

11.3 We may cancel an order where an amount is overdue and remains unpaid 14 days after we request payment in writing. Where we cancel for a reason not attributable to you, we will refund amounts paid for work not performed.

11.4 Neither party is liable for failure or delay caused by events outside its reasonable control. Where such an event continues for more than 30 days, either party may cancel the affected order, and clause 11.3 applies to any refund.

12. Confidentiality

12.1 Each party may receive confidential information from the other in connection with an order. Your designs, drawings and specifications are your confidential information. Our pricing, print profiles, process parameters and methods are ours.

12.2 A party who receives the other's confidential information must keep it confidential, use it only for the purposes of the order, and not disclose it to any other person without the other party's written consent. Clause 10.7 applies to images of parts used in our marketing material.

12.3 Clause 12.2 does not apply to information that is public through no fault of the receiving party, that was already known to the receiving party, or that must be disclosed by law.

12.4 Clause 12.2 continues after the order is completed. It does not prevent the parties entering a separate non-disclosure agreement.

12.5 We retain project and financial records for 7 years, consistent with Australian Taxation Office requirements and our privacy policy.

13. Australian Consumer Law

13.1 Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot be excluded.

13.2 Where the Australian Consumer Law permits us to limit our liability for failure to comply with a guarantee — which it does for goods and services not of a kind ordinarily acquired for personal, domestic or household use — our liability is limited, at our election, to replacing or resupplying the goods or services, paying the cost of having them replaced or resupplied, or refunding the amount paid. This limitation applies only where it is fair and reasonable for us to rely on it.

14. Liability

14.1 Subject to clause 13, and except in respect of death or personal injury caused by our negligence, our total aggregate liability arising out of or in connection with an order — whether in contract, tort (including negligence), under statute or otherwise — is limited to the total price payable for that order.

14.2 Subject to clause 13, we are not liable for loss of profit, loss of revenue, loss of production, loss of contract, loss of data, loss of opportunity, or any indirect or consequential loss.

14.3 Subject to clause 13, any claim must be notified to us in writing within 6 months of delivery of the parts to which it relates. We have no liability in respect of a claim notified after that period.

14.4 Each party must take reasonable steps to mitigate any loss it suffers.

15. Privacy

15.1 We handle personal information in accordance with our privacy policy, published at additivelab.com.au/privacy.html.

16. General

16.1 These terms and your quotation constitute the entire agreement between the parties in respect of that order and supersede all prior representations and communications about it.

16.2 You may not transfer your rights or obligations under an order without our written consent, which will not be unreasonably withheld.

16.3 Notices must be in writing and may be given by email to the addresses shown on the quotation.

16.4 Where any part of these terms is unenforceable, it is severed and the remainder continues in effect.

16.5 Nothing in these terms constitutes either party the partner, agent or employee of the other.

16.6 These terms are governed by the law of Queensland, Australia, and each party submits to the non-exclusive jurisdiction of the courts of Queensland.
